Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the AislePilot app (for shoppers), the AislePilot Partner app (for shop owners and staff), and our website at https://aislepilot.co.uk (together, the "Service"), provided by Mimisys LTD ("we", "our", or "us"). AislePilot (aislepilot.co.uk) is a product of Mimisys LTD.

By downloading, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.


1. Definitions

  • Shopper — a person who uses the AislePilot app to browse Shops and place Orders.
  • Partner — a business that uses the AislePilot Partner app to list and sell products. Each Partner operates one or more Shops.
  • Order — a request by a Shopper to buy products from a Shop for delivery or click & collect.
  • Content — anything uploaded to the Service, including listings, images, reviews, and messages.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Service. By using it, you confirm you meet this requirement. If you use the Service for a business, you confirm you are authorised to bind that business to these Terms.


3. Our Role — AislePilot Is a Platform, Not the Seller

AislePilot provides software that connects Shoppers with independent local Shops. The contract for the sale of products is made directly between the Shopper and the Shop. AislePilot is not a party to that contract and is not the seller, manufacturer, distributor, or supplier of any product.

Each Shop is solely responsible for its products, including:

  • Pricing, availability, descriptions, and images;
  • The quality, safety, and legality of its products;
  • Food safety, allergen, ingredient, weight/measure, and labelling information, and compliance with applicable food-safety and consumer law;
  • Compliance with all laws relating to age-restricted products (including alcohol, tobacco products where permitted, vaping products, knives, lottery products, and any other restricted goods), including verifying the purchaser's age and identity, refusing supply where required, and complying with all applicable licensing obligations;
  • Fulfilment of Orders (picking, packing, delivery or collection) and any substitutions; and
  • Handling cancellations, refunds, returns, and complaints relating to its products.

We are not responsible for the acts or omissions of any Shop or Shopper.


4. Accounts

  • You must provide accurate information and keep it up to date.
  • You are responsible for your login credentials and for all activity under your account.
  • Keep your password confidential and do not share your account or login with anyone else.
  • Notify us immediately at contact@aislepilot.co.uk of any unauthorised use.
  • We may suspend, lock, or terminate accounts as described in Section 10.

5. Shopper Terms

  • Adding Shops: you can add a Shop by scanning its QR code or entering its share code.
  • Placing Orders: when you place an Order, you make an offer to buy from the Shop. The Order is accepted when the Shop confirms or begins preparing it. Prices, fees, minimum-order amounts, delivery areas, and slots are set by each Shop and shown before you confirm.
  • Availability & substitutions: items may sell out. A Shop may mark items unavailable or substitute them in line with its policy; your total is adjusted accordingly.
  • Delivery & collection: fulfilment is provided or arranged by the Shop. Estimated times are not guaranteed.
  • Age-restricted items: for products such as alcohol, the Shop may require proof of age at handover and may refuse supply.
  • Payments: at checkout you choose from the payment methods the Shop offers. These may include paying online by card, or paying the Shop directly in person — card on delivery or collection, or cash. Online card payments are processed by Stripe on the Shop's behalf; AislePilot facilitates the payment but the Shop remains the seller of the products, and AislePilot does not store your full card details. A small service fee is shown before you confirm.
  • Card authorisation holds: when you pay online by card, the order total is authorised (held) on your card at checkout rather than charged straight away. You are only charged for the items the Shop actually fulfils, when your order is completed. If items are unavailable or your order is reduced, the difference is released rather than charged — usually without a separate refund. A hold may appear as "pending" on your statement for a few days.
  • Cancellations & refunds: these are governed by the Shop's policy and applicable consumer law. Raise product issues with the Shop first; we can help facilitate contact. Where you paid online by card and a refund is due, it is returned to your original card via Stripe; the time it takes to appear depends on your bank or card issuer.
  • Reviews: you may post honest reviews of Shops you have used. See Section 8.

6. Partner (Merchant) Terms

6.1 Joining and approval

To join, download AislePilot Partner and create your Shop. We will contact you to agree and set up your monthly subscription. Once that is set up, we approve your Shop and you can list products. Until approved, your account remains pending and cannot sell.

6.2 Subscription and fees

  • Partners pay a flat monthly subscription to use AislePilot Partner. Partner subscriptions are arranged directly between Mimisys LTD and the Partner during onboarding, and subscription payments are invoiced and managed outside the AislePilot Partner app.
  • Fees are exclusive of taxes (e.g. VAT) unless stated; you are responsible for applicable taxes.
  • We may change subscription fees on reasonable prior notice. If you do not accept a change, you may cancel before it takes effect.
  • If a subscription payment is overdue, we may suspend or lock your Shop until it is resolved.
  • Cancelling: you may cancel your subscription at any time by giving us at least one (1) month's notice (email contact@aislepilot.co.uk).
  • Cancellation takes effect at the end of your current billing period, not immediately — your Shop stays active until then.
  • Except where the law requires otherwise, fees are non-refundable: we do not refund the current or past billing periods, and you remain liable for the period in which you cancel.
  • We reserve the right to terminate a Partner subscription for fraud, repeated breach of these Terms, illegal activity, or prolonged non-payment.

6.2A Online Card Payments and Service Fee

  • Accepting online card payments is optional. To offer it, you must connect a Stripe account through the app. Your use of Stripe is also governed by Stripe's own agreements (including the Stripe Connected Account Agreement and Stripe Services Agreement), and you are responsible for meeting Stripe's requirements. Until your Stripe account is connected and enabled, the online card option remains unavailable in your Shop.
  • How card payments flow. For online card orders, the customer's card is authorised at checkout and captured when you complete the order, for the items you actually fulfil. Funds for online card orders are settled to your connected Stripe account, less our service fee, on Stripe's payout schedule. AislePilot is not the merchant of record for product sales and does not hold your product revenue as your agent.
  • In-person and cash payments. "Card on delivery", "card on collection", and cash are collected by you directly from the customer. AislePilot does not process these; if you offer card on delivery you are responsible for providing your own card terminal (for example, sending it out with your driver).
  • Service fee. In addition to your subscription, we charge a per-order service fee for use of the platform. The fee is currently 1% of the order subtotal, subject to a minimum and a maximum per order, and is shown in the app. For online card orders the fee is deducted automatically; for in-person and cash orders it is added to your account balance and settled by invoice. We may change the service fee on reasonable prior notice.
  • Refunds and chargebacks. Where a refund is due on an online card order, it is returned to the customer's card via Stripe. You remain responsible for refunds, chargebacks, and disputes relating to your products and orders, and for any related fees Stripe charges.

6.3 Your obligations as a Partner

You agree to:

  • List only products you are legally entitled to sell, with accurate descriptions, prices, images, stock, and allergen/ingredient/labelling information;
  • Comply with all laws applicable to your business, including food-safety, hygiene, weights-and-measures, consumer-protection, and age-restricted-goods laws, and hold all required registrations and licences;
  • Fulfil accepted Orders promptly and honour the fulfilment, pricing, and refund terms you publish;
  • Handle customer data you access through AislePilot Partner in line with data-protection law and our Privacy Policy (you are an independent controller of your customers' data); and
  • Keep your shop profile, hours, and availability accurate.

6.3A Age-Restricted Products

If you list or sell any age-restricted products (including, but not limited to, alcohol, tobacco products where permitted by law, vaping products, knives, lottery products, or any other goods subject to age restrictions), you are solely responsible for complying with all applicable laws and regulations.

This includes, without limitation:

  • verifying that the purchaser meets the minimum legal age before supplying the product;
  • requesting and checking valid identification where required;
  • refusing collection or delivery where suitable proof of age cannot be provided;
  • ensuring your staff and delivery personnel are properly trained in age-verification procedures;
  • complying with all licensing requirements and conditions applicable to your business; and
  • maintaining any records required by law.

AislePilot does not verify the age or identity of Shoppers, does not perform age checks on behalf of Partners, and accepts no responsibility for the sale or supply of age-restricted products. Each Partner remains solely responsible for ensuring that all age-restricted sales are carried out lawfully.

6.4 Staff

If you create accounts for staff, you are responsible for their access and actions and for ensuring they comply with these Terms.

6.5 Content licence

You grant AislePilot a non-exclusive, worldwide, royalty-free licence to host, display, and distribute your Shop's Content within the Service for the purpose of operating and promoting the Service. You confirm you own or have the rights to all Content you upload.


7. Payments Summary

  • Product payments are between Shoppers and Shops. Where a Shop enables online card payment, AislePilot facilitates that payment through Stripe on the Shop's behalf; the Shop remains the seller of the products, and AislePilot is not the merchant of record for product sales. Card-in-person and cash payments are made directly to the Shop. AislePilot does not store full card details.
  • Service fee — AislePilot charges Shops a small per-order service fee for use of the platform, in addition to the Partner subscription (see Section 6.2A).
  • Subscription payments for AislePilot Partner are between the Partner and AislePilot, as agreed at onboarding.

8. User Content & Reviews

You retain ownership of Content you create. You grant us a licence to store, display, and use it to operate the Service. You must not post Content that is unlawful, false, misleading, defamatory, infringing, harmful, or that violates anyone's rights or privacy. We may moderate, remove, or refuse Content and may remove reviews that breach these Terms, but we are not obliged to monitor Content.


9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;
  • List or order prohibited or illegal goods, or circumvent age-restriction controls;
  • Upload, list, or transmit Content you do not own or have the rights to use, including images, text, or branding that infringe another party's copyright or trademarks;
  • Upload or transmit malware, viruses, or other harmful or malicious code;
  • Post obscene, offensive, hateful, or otherwise objectionable Content;
  • Use the Service in breach of applicable export-control, trade-sanctions, or embargo laws;
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Service or its data;
  • Reverse-engineer, decompile, or copy the Service except as permitted by law;
  • Scrape, resell, or misuse data obtained through the Service; or
  • Impersonate others or misrepresent your affiliation.

10. Suspension, Locking & Termination

We may suspend, lock, or terminate access to all or part of the Service, with or without notice, if we reasonably believe you have breached these Terms or the law, for non-payment of Partner subscriptions, to protect users or the Service, or as otherwise permitted by law. When a Shop is locked, its app access is restricted and Shoppers may be unable to order from it.

You may stop using the Service at any time, delete your account in-app, or ask us to close it. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive.


11. Intellectual Property

The Service — including its software, design, text, graphics, and the AislePilot name and logo — is owned by Mimisys LTD or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the apps on devices you own or control, solely as permitted by these Terms and the relevant app store's terms. All rights not expressly granted are reserved.


12. Third-Party Services and App Stores

The Service relies on third-party services (including Google Firebase and, for online card payments, Stripe) and is distributed through the Apple App Store and Google Play, whose terms also apply to your use of the apps. Where you pay by card or accept card payments, Stripe's terms and privacy policy also apply.

Apple App Store — Additional Terms

These terms apply if you obtained the app from the Apple App Store:

  • These Terms are between you and Mimisys LTD only, not Apple. Apple is not responsible for the apps or their content.
  • Your licence to use the app is a limited, non-transferable licence to use it on Apple-branded devices you own or control, as set out in the Apple Media Services Terms (the "Usage Rules").
  • Apple has no obligation to provide maintenance or support for the apps; we are solely responsible for support at contact@aislepilot.co.uk.
  • To the maximum extent permitted by law, Apple has no warranty obligation; any warranty claims are our responsibility.
  • Apple is not responsible for addressing product or legal claims (including product liability, legal/regulatory non-compliance, or consumer-protection claims) relating to the apps.
  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation.
  • We, not Apple, are responsible for any intellectual-property infringement claims relating to the apps.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated "terrorist-supporting", and are not on any U.S. Government prohibited-parties list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

13. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that listings, prices, availability, or fulfilment times are accurate or guaranteed. We do not verify, and are not responsible for, the products, food-safety or allergen information, or conduct of any Shop or Shopper. Nothing in these Terms excludes liability that cannot be excluded by law (including, where applicable, your statutory consumer rights).


14. Limitation of Liability

To the maximum extent permitted by law, Mimisys LTD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or for any products supplied by a Shop. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) £100. Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.


15. Indemnity

You agree to indemnify and hold harmless Mimisys LTD and its officers, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or the law, your Content, or — for Partners — your products, listings, fulfilment, or handling of customer data.


16. Availability & Maintenance

We aim to keep the Service available but do not guarantee uninterrupted access. From time to time we may:

  • perform scheduled or emergency maintenance;
  • release updates, changes, or new versions of the apps (which you may need to install to keep using the Service); and
  • temporarily suspend or limit all or part of the Service for maintenance, security, or technical reasons.

Where practical we will try to give reasonable notice of planned downtime, but we may act without notice where necessary (for example, to protect security or fix an urgent fault). We are not liable for any unavailability of the Service, subject to Section 14 and Section 17.


17. Force Majeure

We are not liable for any delay in, or failure of, the Service caused by events beyond our reasonable control, including (without limitation): internet, network, hosting, or cloud-provider outages; power failures; failures of third-party services we rely on; natural disasters, fire, or extreme weather; epidemics or pandemics; strikes or labour disputes; acts of government or changes in law; war, terrorism, or civil unrest; and cyberattacks, including denial-of-service attacks. While such an event continues, our affected obligations are suspended, and we will use reasonable efforts to resume normal service as soon as practicable.


18. Electronic Communications

By creating an account and using the Service, you agree to receive notices and communications from us electronically — including by email or in-app notification — and you agree that such electronic communications satisfy any legal requirement that they be provided in writing.


19. Changes to These Terms

We may update these Terms from time to time. We will update the "Last Updated" date, post the new version at https://aislepilot.co.uk/terms, and, for material changes, notify you in-app or by email. Continued use of the Service after changes take effect means you accept the updated Terms.


20. Governing Law & Disputes

These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law gives you the right to bring proceedings in your country of residence.
